1. Scope
These terms apply to all contracts between seominitool, Weststraße 25, 06484 Quedlinburg, Germany ("we", "us") and business customers ("Unternehmer" under § 14 BGB) purchasing SEO services through seominitool.com. Consumers may also purchase; where a term below applies only to consumers or only to businesses, this is stated explicitly.
2. Contract formation
Placing an order via our checkout is an offer to enter into a contract. We accept it by sending an order confirmation to the email address you provide. The contract is formed at that point. All services, packages and prices are described on the relevant service page and on /pricing/ at the time of order; that description is the agreed scope.
3. Prices and payment
All prices shown are net of the statutory German VAT (currently 19%), added at checkout. EU business customers with a valid VAT ID may qualify for the reverse-charge mechanism (Art. 196 VAT Directive); see the checkout for details. Current payment process: the checkout's payment step is a demonstration flow — no payment is taken and no card data is transmitted or stored at checkout. After we confirm your order, you will receive an invoice by email with payment instructions. Payment is due per the terms stated on that invoice.
4. Service description and nature of the obligation
We provide SEO services as a service obligation (Dienstvertrag), not a guaranteed-outcome obligation (Werkvertrag): we commit to performing the work described in your package's deliverables list, to the described method and cadence — we do not, and cannot honestly, guarantee a specific search ranking, traffic figure, or inclusion in any AI-generated answer, since none of these outcomes are within our control. Any statement to the contrary on this site or in correspondence does not override this clause.
5. Term, minimum term and cancellation
One-off packages are delivered once, per the turnaround stated on the relevant service page. Monthly packages run for the stated minimum term (3 or 6 months, per package) and continue thereafter on a rolling monthly basis until cancelled with [[CLIENT: notice period — e.g. 30 days]] written notice before the next billing date. See our Refund & Cancellation policy for the full cancellation and refund terms, including the statutory withdrawal right that applies to consumer customers only.
6. Client cooperation
Timely delivery depends on the access and information listed in the "Timeline & what we need from you" section of each service page (e.g. account access, content sign-off, a named point of contact). Delays caused by missing cooperation on your side extend the stated turnaround accordingly.
7. Liability
We are liable without limitation for intent and gross negligence, and for injury to life, body or health. For slight negligence, we are liable only for breach of a material contractual obligation (Kardinalpflicht), and liability is limited to the foreseeable, typical damage. This limitation does not affect statutory liability under the Product Liability Act.
8. Governing law and jurisdiction
These terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. For contracts with merchants, legal entities under public law, or special funds under public law, the place of jurisdiction is Quedlinburg. Mandatory consumer-protection provisions of the customer's home country remain unaffected where the customer is a consumer.
9. Severability
Should any provision of these terms be or become invalid, the validity of the remaining provisions is unaffected.
